Lynn Andrea Stout

Ithaca - Lynn Andrea Stout passed away early on the morning of April 16, 2018 at the Hospicare residence in Ithaca, NY after a courageous struggle with cancer. Lynn was born on September 14, 1957 in Albany, NY. She is survived by her two beloved sons, Daniel Cowan Stout Olin and David Alexander Olin. She also leaves her brother, Warren Stout and sister, Katherine Stout Van Woert, and their families. She was predeceased by her parents. Lynn graduated summa cum laude and Phi Beta Kappa from the Woodrow Wilson School of Public and International Affairs at Princeton University with a B.A. (1979) and Masters in Public Affairs (1982). She held a Juris Doctor from Yale Law School (1982).

Lynn was an internationally recognized expert, scholar, author, and speaker in the fields of corporate governance, securities regulation, financial derivatives, law and economics, and moral and ethical behavior. She was known as a passionate teacher and mentor. Lynn pioneered the field of progressive business law. As the Marc and Beth Goldbert Distinguished Professor of Corporate and Business Law at the Cornell Law School, Lynn helped transform the Clarke Business Law Institute into one of the nation's preeminent business law programs. Prior to that, Lynn was the Paul Hastings Distinguished Professor of Corporate and Securities Law at UCLA School of Law. She also taught at Harvard Law School, NYU Law School, Georgetown University Law School, and George Washington National Law Center.

Lynn served on or consulted to a number of non-profit and for-profit boards in the worlds of law, finance, and economics including the CFA Institute Board of Governors, the Financial Research Advisory Committee to the U.S. Treasury, the Aspen Institute's Business & Society Program, the Brookings Institute Project on Corporate Purpose, the Gruter Institute for Law and Behavioral Research, and the Eaton Vance Mutual Funds. She recently co-founded a nonprofit startup, The Ethical Shareholder Initiative, whose primary aim is to provide a platform by which shareholders can empower corporations to act for the common good.

Lynn lectured widely, was frequently interviewed by the media, and was the author of numerous articles and books including The Shareholder Value Myth: How Putting Shareholders First Harms Investors, Corporations, and the Public which became part of a national conversation about better ways to run corporations. She devoted her last months to writing her final book, Citizen Capitalism: How a Universal Fund Can Provide Income and Influence to All, which shares Lynn's vision and solution to income inequality. The book will be released posthumously.

Lynn was as passionate in her personal life as she was in her professional life. She lived life boldly. She was a kind, generous, and supportive friend. Lynn was an avid horsewoman: she rode on the Princeton equestrian team, played polo, fox hunted, and competed in combined tests. She also enjoyed running, hiking, skiing, biking, kayaking, boxing, and flying - especially hot air balloons. She was an inspirational member of the Ithaca Dragon Boat Club and participated in Ithaca's Scottish Games. Lynn was also an artist and musician.

Lynn excelled at everything she put her mind to. She had a sharp and nimble mind and loved a good debate or discussion with friends. Her passion for life was infectious, her drive to excellence without peer, and her accomplishments many. She was strongly independent and resolute, even in her final days. She used her life to create a more just and equitable world; the world has lost a remarkable human being and force for good with her passing. I knew Lynn as a rider -- we were on the Princeton University Equestrian Team together back in the day. Great times riding and competing together. Very saddened to learn of the death of my classmate and fellow equestrian.

Our family is shocked and saddened to learn of Lynn's passing. We didn't even know she was ill. I can only imagine that she fought hard and took this cancer on like a tiger. Lynn was such a force; brilliant, ebullient and hard working with the highest of ethical morals. She was pure pleasure to be with and we so enjoyed our family dinners together as her kids and ours are the same age. Lynn was a big hiker but she indulged me with fun walks (and talks) to the Santa Monica Pier. I learned something new every time I was with her. She was kind and generous and took our son with her son, David, to Palm Springs on several occasions and always showed the boys a great time. (When I told our son the sad news he wrote me from school, Oh no, that is so sad. She was a really cool lady.) We so enjoyed taking our boys to a couple of Dodgers games together. Lynn was both left and right-brained. She was the expert on derivatives and could also do the most creative renovation on her home near UCLA. She really could do anything and everything. Our family cannot believe she's gone. We are so sad and sorry to lose someone as special as Lynn. Our hearts break for her wonderful sons, her family and her friends. What a loss ----but how lucky were all of us who were fortunate to have known her. I was so proud to call her my friend. May she rest in peace....because she sure kept busy here on Earth!! May God bless her and her precious family.

I found out by accident that Lynn Stout had passed away, and am still struggling for the right words - I didn't know her well, but as a former Georgetown student of hers, I can say honestly that she was THE most influential teacher I had. She was brilliant and energetic, open and motivating. When I finally had the chance to invite her as a speaker for an event twenty years later, she was just the same - as well as fun! The world has lost a bright light. All my condolences to her family.

I have had the pleasure of knowing Lynn for over twenty-five years from our early days in Washington D.C. She was an important progressive corporate law scholar who challenged neoclassical economic scholars on their own turf. She was brilliant, energetic and dedicated to her scholarship. Her passing is a great loss to the corporate governance community. I have valued my interactions with her over the years at various conferences and at my home and our mutual support of each others scholarship. I express my deepest sympathy to her family, colleagues, and friends.

Lynn was the best friend anyone could imagine. She spoke of her friends so lovingly, and even through her struggle was focused on each one of them. She mentioned a few times that she'd lived a full life, and was grateful for this "wonderful world." We accomplished some bucket list things she had, and I'm eternally grateful for our unforgettable times together. We called each other "sis" without even thinking. Knowing Lynn for close to 20 years, I can easily say there wasn't a finer person. I still feel her presence.

Lynn was my corporations law professor at Georgetown and later a professional friend and collaborator in the corporate governance world. Lynn was in her element when stirring up debate about shareholder primacy and the role of corporations in society. I was lucky to have her participate in numerous discussions that I organized and she made very lively. The last one was at The Conference Board in NYC at the end of January. I will miss her intellect and spirit.
