ROBERT PAGE CROZER Businessman, Leader, Philanthropist Robert P. Crozer, 60, Senior Advisor for Greenhill & Co. LLC (NYSE: GHL), former Vice Chairman of Flowers Industries (NYSE: FLO), former Chairman of Keebler Foods, and Jackson Hole, Wyoming resident passed away with peace and dignity on Sunday, July 22, 2007 following a long fought battle with cancer. Surviving Mr. Crozer are Mrs. Robert P. Crozer, sons Robert Page Crozer, Jr. and William Flowers Crozer and Mr. Crozer's brother, George K. Crozer. A native of Philadelphia, Mr. Crozer's family includes U.S. Navy Admirals, founders of the Crozer-Chester Medical Center and the Crozer Theological Seminary where Reverend Martin Luther King, Jr. received his degree. Attending St. Georges School and graduating from the Haverford School, Mr. Crozer was an outstanding, all-state athlete in three sports. He went on to graduate from the University of Virginia (Bachelor of Arts 1969) and the University of Virginia-Darden School (Master of Business 1973). A dedicated philanthropist, Mr. Crozer's local and national civic contributions were profound. ×Bob's concern and interest in numerous civic and charitable organizations was exemplified by his generous gifts of time, talent and financial support. Perhaps his greatest gift was a genuine concern for and outreach to others that made a significant impact on the lives of countless individuals in the communities in which he lived,× said Bernard Lanigan, close family advisor and friend. Mr. Crozer's leadership was realized through his gifts of time and financial support for numerous charities and organizations that made a meaningful impact in the lives of him and his family including, All Saints Episcopal Church, Brookwood School, where he was Chairman and Capital Campaign leader, The Plantation Wildlife Arts Festival, which he founded, Archbold Hospital, The Animal Adoption Center of Jackson Hole, The Jackson Hole Land Trust, The Jackson Hole Community Foundation, The University of Virginia Jefferson Scholars Program, The University of Virginia College of Arts of Sciences, University of Virginia Alumni Association, where he served as Chairman, Saint Anthony Hall Fraternity and The University of Texas MD Anderson Cancer Center. Mr. Crozer also served on the University of Virginia Board of Managers, as Chairman of the Georgia Chamber of Commerce and was a member of Leadership Georgia, Community Foundation of Georgia, World Presidents' Organization and Young Presidents' Organization. Mr. Crozer joined Flowers Industries in 1973 after receiving his MBA. In 1979 he was promoted to president of the Company's convenience products group and elected to the Board of Directors. In 1985, Mr. Crozer was elected Corporate Vice President of Marketing. He was elected Vice Chairman of the Board in 1989, the position he held until 2001. Earlier in his career, Mr. Crozer developed the Nature's Own brand for the Company. Nature's Own breads were introduced in 1977 and today Nature's Own is the Company's leading brand with retail sales of $600 million annually. Mr. Crozer was Vice Chairman of the Board of Flowers Industries, which became Flowers Foods in 2001 when the Company sold its majority interest in Keebler Foods to the Kellogg Company (NYSE). Recognizing the opportunity to create significant shareholder value and expand into a higher ROI/margin food category, Mr. Crozer guided Flowers Industries' acquisition of Keebler Foods in 1996, considered a bold move because Keebler's sales were more than double that of Flowers Industries at the time. Mr. Crozer served as Chairman of the Board for Keebler Foods Company from 1998 until 2001. Amos R. McMullian, former Chairman of the Board and Chief Executive Officer for Flowers Foods, said of Crozer, ×Because of his experience and background, Bob brought a unique perspective to our management team that helped advance the Company. Bob was the persistent inspiration behind our acquisition of Keebler and that transaction created tremendous value for Flowers' shareholders. Bob Crozer was a valued member of our management team and he was a good friend,× McMullian said. ×Bob served with distinction during his more than 30 years in key positions for our company,× said George E. Deese, current chairman of the board, CEO, and president of Flowers Foods. ×Our company benefited from his financial acumen, marketing savvy and critical understanding of the food industry at large. Bob made a strong impact on our company, both professionally and personally. He was a wonderful friend and will be greatly missed. ×Mr. Crozer was a guiding force as a member of the senior leadership team at Flowers, where he served as Vice Chairman. During Mr. Crozer's career with Flowers sales at the Company increased from $104 million to over $4.5 billion, including the Keebler investment. While Chairman of Keebler between 1998 and 2001, sales rose 75% to $2.8 billion while earnings before interest, depreciation and taxes increased to $423 million from a loss of $175 million. In addition, Mr. Crozer was instrumental in building the Flowers and Keebler brands through the Companies' three acquisitions: Sunshine Biscuits, $521 million in sales, President Baking Company, $450 million in sales, and Austin Foods, $200 million in sales. Keebler made its initial public offering in 1998 and merged with Kellogg Company on March 26, 2001. The 2001 transaction with Kellogg when Flowers sold its majority interest in Keebler converted Flowers' initial $62.5 million investment in Keebler into a combined $3.8 billion dollar cash distribution to Flowers and Keebler shareholders as well as ownership in the spin-off company Flowers Foods. Following the sale of Keebler to Kellogg, Mr. Crozer decided to pursue philanthropic and personal investment opportunities, forming Wahyam Capital where he served as chairman, following his 30 year career at Flowers and 25 years as a Flowers Director. Mr. Crozer went on to become a senior advisor at Greenhill & Co. from 2004 until his death. (Continued next column)

Oh dear Tali, we are here at Wrightsville Beach where I have just learned about Bob. My mind has been racing back to those early days when we were all gathered here for the wedding of Rachel & Charlie Frazer, then on to more memories of Lyford Cay, Thomasville, Atlanta, thank heaven for those precious memories. Our love and deepest sympathy goes out to all of you. What a loss, what an endearing person, I'll call when we get back to Greensboro. Katie Jo & John Redhead

At the University of Virginia, Bob and I had many good moments together and many mutual friends. I never heard an unfavorable remark about Bob and always felt that he was quite the gentleman.

His many accomplishments gratify us all; certainly his record of support for worthy charitable organizations is exemplary as is his leadership at Flowers Industries and Greenhill & Co.

I saw Bob about 2002 or so at a lacrosse game in Charlottesville. We had a jovial time reminiscing briefly, mentioning Steve Brown and the notorious Bob Shimer (another Phillie lad of his UVA vintage) and other good friends. He had indicated that he might invite me to south Georgia for some bird hunting, but we just lost touch, as way leads on to way, as Robert Frost penned, and we just never connected on that.

Earlier, I think the fall of 1996, when our daughter, Schuyler Williams, was an entering freshman at Episcopal High School, class of 2000, we saw each other when you all were there for matriculation of one of your sons--Page, I think.

You have such a loss with which to contend. I feel the loss, too, but cannot begin to imagine the situation for you all, Tali, Page and William. Robert Page Crozer leaves quite a legacy of success and caring.
